1. Introduction and acceptance
These Terms and Conditions ("Terms") govern the purchase and use of the Neutrino theme for the Ghost content management system ("the Theme"), supplied by about:blank studio Ltd, a company registered in England and Wales (company number 13467011), whose registered office is at Forma House 40, Bowling Green Lane, London EC1R 0NE, United Kingdom ("we", "us", "the Licensor").
By purchasing, downloading, installing, or using the Theme, you ("you", "the Licensee") agree to these Terms. If you are entering into these Terms on behalf of a company or other organisation, you confirm you have authority to bind that organisation. If you do not agree, do not purchase or use the Theme.
The version of these Terms in force at the time of your purchase governs that purchase.
2. Definitions
- Theme: the Neutrino theme software for Ghost, including its files, assets, and accompanying documentation.
- Merchant of Record or Provider: the third-party platform Lemon Squeezy that processes your purchase, handles payment and applicable taxes, delivers your files, and manages your customer account and any license key.
- Site: a single Ghost website served on one production domain. A staging or development copy of the same Site is not counted as a separate Site.
- Update window: for one-time purchases (the Single and Unlimited tiers), the period of twelve (12) months beginning on the purchase date, during which you are entitled to receive new versions of the Theme.
- Entitlement: the right to receive new versions, support, and automatic update delivery (see clause 7.5). Entitlement is distinct from your right to use the Theme (see clause 6).
- Owned version: the most recent version of the Theme you received while you held Entitlement.
- Major Ghost release: an increment of the first number in Ghost's version (for example from 6.x to 7.0) under Ghost's semantic versioning, at which Ghost concentrates changes that may affect theme compatibility.
3. License tiers and grant
We grant you a non-exclusive, non-transferable, worldwide license to use the Theme, subject to these Terms and to the tier you purchased.
3.1 Single (one-time purchase)
Authorises use of the Theme on one (1) Site. You may use a staging or development copy of that same Site. You may not use the Theme on more than one Site under a Single license. To use the Theme on an additional Site, purchase an additional license.
3.2 Unlimited (one-time purchase)
Authorises use of the Theme on an unlimited number of Sites that you own or operate, or that you build and operate on behalf of your clients.
3.3 Ongoing (annual subscription)
Authorises use of the Theme on one (1) Site for as long as the subscription remains active, and additionally includes continuous updates, human support, and automatic update delivery (clause 7.5) as described in these Terms. The Ongoing tier is a single-Site subscription; to cover additional Sites on a subscription basis, purchase a separate Ongoing subscription for each Site.
3.4 Customisation
You may modify and customise the Theme for use on your own licensed Site or Sites. Modification does not transfer ownership of the Theme to you, and we are not obliged to support, fix, or maintain modified copies (see clause 7).
4. Restrictions
You may not, under any tier:
- redistribute, resell, sublicense, lease, rent, publish, or otherwise make the Theme or its files available to any third party, whether in original or modified form, except as the natural result of operating a licensed Site;
- make the Theme available for download, or share your license key or files, with anyone who has not purchased their own license;
- use the Theme on more Sites than your tier authorises;
- claim authorship of the Theme or remove or obscure our copyright or proprietary notices, except where you are permitted to remove front-end attribution on your own Site;
- use our name, logo, screenshots, demo content, or other brand assets to promote, bundle, or advertise any product or service, or to create an aggregator, directory, or "brand hub" page, without our prior written permission.
Use of the Theme on a platform other than Ghost, or in a product or service supplied to end users where the Theme forms part of what those users receive, is not permitted under the standard tiers and requires a separate written arrangement with us.
5. Ownership and intellectual property
The Theme is licensed, not sold. We retain all intellectual property rights, title, and interest in the Theme, including all copies and modifications. Nothing in these Terms transfers ownership of the Theme to you. Your rights are limited to those expressly granted here.
6. Ownership of the version you receive, and entitlement
6.1 Perpetual right to use
Any version of the Theme you received while you held Entitlement is yours to keep and use, on a licensed Site, indefinitely. This right does not expire when your Entitlement ends.
6.2 What ending of Entitlement means
When your Update window expires (one-time tiers) or your subscription is cancelled or lapses (Ongoing tier), you stop receiving new versions, support, and automatic update delivery. You do not lose the right to keep using the Owned version. Ending of Entitlement never requires you to stop using the Theme.
7. Updates and compatibility
7.1 Updates for one-time purchases
A Single or Unlimited purchase entitles you to all new versions of the Theme released during the twelve-month Update window following your purchase date. The Update window is measured in time, not by Ghost version. If a Major Ghost release occurs during your Update window, you are entitled to the corresponding Theme version at no additional cost, including where the Major Ghost release falls on the final day of the window. After the Update window ends, you keep your Owned version (clause 6) but are not entitled to further updates unless you make a new purchase, which starts a fresh twelve-month Update window.
7.2 Updates for the Ongoing subscription
While your subscription is active, you are entitled to all new versions of the Theme without time limit, including across Major Ghost releases.
7.3 Compatibility floor (limited)
We aim to keep each released version of the Theme compatible with Ghost at minimum until the next Major Ghost release. This is a limited, best-effort assurance, not a guarantee of perpetual compatibility and not an obligation to patch a version after your Entitlement has ended. Backward compatibility within a Ghost major series is determined by Ghost and is outside our control. Customers with active Entitlement receive compatibility fixes as part of their normal updates. Customers whose Entitlement has ended are not entitled to compatibility fixes for their Owned version.
7.4 Update delivery
Updates are delivered through the Merchant of Record, typically by notification with a download link and a list of changed, added, and removed files. Ghost has no built-in automatic update mechanism for themes; for one-time tiers, installing an update is your responsibility. The period for which past versions remain available to download is determined by the Merchant of Record [confirm with provider].
7.5 Automatic update delivery (Ongoing tier)
As an optional convenience for active Ongoing subscribers, we can deliver updates directly to your Site. To enable this, you provide us with a Ghost Admin application programming interface (API) key for your Site, which we store against your subscriber record and use solely to push Theme updates to your Site by automated deployment. You authorise this use for as long as your subscription is active. We will keep the key confidential and use it only for delivering updates. You are responsible for the validity of the key and for the configuration of your Site, and you may withdraw this authorisation at any time by removing or rotating the key or by contacting us; on cancellation or lapse of your subscription this authorisation ends and we will cease using and delete the stored key. Use of this feature is optional; you may instead install updates manually.
8. Support
8.1 What support covers
Support covers questions about the Theme's features and configuration, and the diagnosis and fixing of genuine defects in the Theme.
8.2 What support does not cover
Support does not include: custom development or modifications; styling or code changes beyond the Theme's built-in options; installation or administration of Ghost itself; server, hosting, domain, or third-party service issues; or assistance with copies of the Theme you have modified. For custom work, we recommend engaging a developer or a listed Ghost Expert.
8.3 Support by tier
The Single and Unlimited tiers include documentation and an artificial intelligence (AI) support assistant, both available indefinitely. The Ongoing tier additionally includes human support, with a target first response of two business days. Human support is available only while an Ongoing subscription is active.
9. Subscription terms (Ongoing tier)
9.1 Billing
The Ongoing tier is billed annually in advance and renews automatically each year until cancelled.
9.2 Cancellation
You may cancel at any time through your account with the Merchant of Record. On cancellation you retain your Owned version (clause 6) and may continue using it, but you stop receiving updates, human support, and automatic update delivery at the end of your paid term [confirm end-of-term versus immediate behaviour with provider].
9.3 Failed payment
If a renewal payment fails, the Merchant of Record's retry and grace-period rules apply [confirm with provider]. If payment is not recovered, your Entitlement lapses and clause 6 applies.
9.4 Reinstatement
If you re-subscribe after lapsing, your Entitlement resumes from the then-current version. Re-subscription is not backdated and does not retrospectively restore versions released while you were lapsed beyond providing the current version.
10. No tier conversion, credits, or proration
Each tier is a separate product. We do not offer credits, proration, or conversion between tiers. In particular: a Single purchase is not credited toward an Unlimited purchase; a one-time purchase is not credited toward an Ongoing subscription; and an Ongoing subscription cannot be converted into a one-time license. If you require a different tier, you purchase it as a new transaction.
11. Payments, taxes, and the Merchant of Record
Your purchase is processed by the Merchant of Record, which acts as the seller of record for the transaction. The Merchant of Record handles payment, collects and remits any applicable value-added tax or sales tax, delivers your files, and operates your customer account and any license key. We do not store your payment card details. All billing, payment, renewal, refund processing, and file delivery are subject to the Merchant of Record's own terms and policies, which apply to you in addition to these Terms, and which govern in the event of any conflict on those operational matters.
12. Refunds and money-back guarantee
We intend to offer a money-back guarantee, the exact window and process for which are administered by the Merchant of Record [confirm window and process with provider; market norm is 14 to 30 days]. To be eligible for a refund you must uninstall the Theme from all Sites and cease all use of it. Once a refund is issued, your license terminates immediately and your access to downloads, updates, support, and automatic update delivery ends. If a refunded Theme is found in continued use, we reserve the right to take appropriate enforcement action. Refund timing and method are determined by the Merchant of Record and your payment provider.
13. License key and enforcement
Your purchase may be accompanied by a license key issued by the Merchant of Record, used to verify your purchase and to enable updates, support, or automatic update delivery. The license key is for your use only and may not be shared or published. We may verify, limit, or revoke license keys to enforce these Terms. You acknowledge that Ghost does not itself enforce third-party theme licenses, and that this clause governs your contractual obligations regardless of whether any technical control exists.
14. Domain changes and transfers
You may move a licensed Site to a new production domain, provided that the original Site ceases all use of the Theme and that you update the licensed domain in your account with the Merchant of Record [whether self-service domain reassignment is available is to be confirmed with provider]. Moving a Site to a new domain in this way is not a new-Site use. Your license is otherwise non-transferable: you may not transfer or assign your license to a different person or organisation without our prior written consent.
15. Discontinuation of the Theme
We may discontinue the Theme. If we do, we will follow these principles: we will give at least six (6) months' advance notice; we will stop new sales and stop automatic subscription renewals from the announcement; we will honour existing Entitlements until they expire, so active annual subscriptions run to the end of their paid term or are refunded pro rata; we will, where practicable, publish a final stability and compatibility release tested against the then-current Major Ghost release; and we will keep downloads available for a reasonable period so you can retrieve your files. Your perpetual right to use your Owned version (clause 6) survives discontinuation. The limited compatibility floor (clause 7.3) ends on the discontinuation date, because future Ghost compatibility cannot be assured once maintenance stops. On discontinuation we will release the Theme's source code under an open-source license so that it can continue to be used and maintained.
16. Warranties and disclaimers
We warrant that the Theme is developed in accordance with applicable industry standards and is, subject to reasonable limitations, visually consistent and functionally compatible across the latest stable releases of the major web browsers (Chrome, Firefox, Safari, Edge).
Except as expressly stated, and subject to clause 17, the Theme is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all other warranties, whether express or implied, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement. We do not warrant that the Theme will be error-free or uninterrupted, or that it will be compatible with every configuration, modification, third-party product, or future Ghost release.
We are not responsible for issues arising from: improper installation; your own modifications to the Theme; use of the Theme outside its intended purpose; conflicts with third-party products or services; or unsupported browsers.
17. Limitation of liability
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law. This clause 17 is subject to that carve-out.
Subject to the above, we will not be liable, under any legal theory, for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, goodwill, data, or business, arising from or relating to these Terms or your use of or inability to use the Theme, even if advised of the possibility of such damages. Our total aggregate liability arising from or relating to these Terms is limited to the amount you paid for the Theme that gave rise to the claim.
18. Indemnification
You agree to indemnify and hold us harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising from your misuse of the Theme, your breach of these Terms, your modifications to the Theme, or the content you publish on a Site using the Theme.
19. Your consumer rights (if you are a consumer)
If you are a consumer, you may have a statutory right to cancel a purchase of digital content within fourteen (14) days. Because the Theme is digital content supplied for immediate download, by purchasing and accessing the Theme you expressly request immediate supply and acknowledge that you lose the statutory right to cancel once download or access has begun. This does not affect any separate money-back guarantee we choose to offer (clause 12), and does not affect your other statutory rights, which remain unaffected. 20. Data protection and privacy
Personal data collected in connection with your purchase is handled in accordance with our Privacy Policy [link] and applicable data protection law, including the United Kingdom General Data Protection Regulation. Payment and account data are processed by the Merchant of Record in accordance with its own privacy terms.
21. Third-party and open-source components
The Theme may include third-party or open-source components (such as fonts, scripts, or libraries) that are subject to their own licenses. Those licenses govern your use of those components, and we provide them without warranty and accept no liability for them. Where required, the applicable third-party license notices are included with the Theme files.
22. Termination
These Terms and your license terminate automatically if you materially breach them, including by redistributing the Theme or exceeding your licensed scope. On termination you must cease all use of the Theme and delete all copies, except that a version you are otherwise entitled to keep under clause 6 remains usable unless termination results from your breach. The provisions that by their nature should survive termination (including clauses 5, 6, 16, 17, 18, and 25) survive.
23. Force majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including outages or failures of third-party platforms (including the Merchant of Record and Ghost), infrastructure failures, or other force majeure events.
24. Changes to these Terms
We may revise these Terms from time to time. The version in force at the time of your purchase governs that purchase. We will indicate the version and effective date at the top of this document, and material changes will be communicated where reasonably practicable.
25. General
Assignment
We may assign or transfer these Terms, in whole or in part, including in connection with a sale or restructuring of the business or the Theme. You may not assign your rights or obligations without our prior written consent.
Entire agreement
These Terms, together with the Merchant of Record's terms applicable to your transaction and our Privacy Policy, constitute the entire agreement between you and us regarding the Theme, and supersede prior representations.
Severability
If any provision is held unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions remain in full force.
Waiver
Our failure to enforce any provision is not a waiver of our right to do so later.
Governing law and jurisdiction
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, save that this does not deprive a consumer of the protection of mandatory provisions of the law of their country of residence.
